Article 2 - Ordering Services

The services offered by the Agency are described in greater detail on the Agency’s website and in commercial proposals. Subscription to a service is made by signing a quote issued by the Agency and returned signed by the Client with the wording “Approved”.

The quote sets out the services ordered, their duration, and the financial terms. The order is considered final only after the Agency receives the duly signed quote and any deposit specified in the quote.

Article 3 - Obligations of the Parties

3.1 Obligations of the Agency

The Agency undertakes to apply all necessary care and diligence to deliver a quality service in line with industry standards. The Agency is bound by an obligation of means rather than a guarantee of results, as the success of affiliate campaigns depends on numerous external factors.

3.2 Obligations of the Client

The Client agrees to provide the Agency with all information, access codes, and elements required to deliver the services ordered. The Client undertakes to collaborate actively and in good faith with the Agency to facilitate proper contract performance and guarantees that the elements provided do not infringe third-party rights or breach the law.

Article 5 - Term and Termination

The duration of the services is defined in the quote signed by the Client. For contracts with tacit renewal, either Party may terminate by giving two months’ notice before the renewal date via registered letter with acknowledgment of receipt.

If either Party commits a material breach of its obligations that is not remedied within 30 days of receipt of formal notice sent by registered letter, the other Party may terminate the contract automatically, without prejudice to any damages.

In any event, the Agency’s contractual liability is limited to the total pre-tax amount paid by the Client for the service that caused the damage. The Agency cannot be held liable for indirect damages such as loss of customers, loss of earnings, or loss of data.

Article 8 - Confidentiality

For the entire duration of the contract and for two years after its termination, the Parties undertake to maintain the strict confidentiality of all strategic, commercial, technical, or financial information belonging to the other Party that they become aware of while performing the contract.

A Privacy Policy, available on the Agency’s website, details TNB WEBFLUENCE’s commitments in this regard.

Article 11 - Governing Law and Jurisdiction

These Terms and the transactions arising from them are governed by French law. In the event of a dispute and after an attempt at amicable resolution, exclusive jurisdiction is granted to the Commercial Court of Montpellier, notwithstanding multiple defendants or third-party proceedings.
